Terms and Conditions for Ů

These Terms and Conditions govern your access to and use of the Ů app, website, related services, content, features, and functionality made available by Alchemic Sonic Environment LLC (ASE).

By accessing or using Ů, you agree to these Terms and Conditions. If you do not agree, you must not use Ů.

1. About Ů

Ů is an adaptive deep listening app developed by Alchemic Sonic Environment LLC (ASE). It is designed to offer guided and responsive sound based experiences that support reflection, regulation, and wellbeing. Ů may include interactive audio experiences, mood check ins, onboarding wellness questions, microphone enabled interactions, and other related features.

Some features are currently live. Other features may be introduced during beta testing or later releases.

3. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, whichever is higher, to create an account or use Ů.

You may not use Ů if your use would violate any applicable law or regulation.

4. Health and Wellness Disclaimer

Ů is intended for wellness, reflective, educational, and supportive purposes only. It is not a medical device and does not provide medical advice, diagnosis, treatment, crisis support, psychotherapy, or emergency services.

No content, recommendation, prompt, sound experience, or app response should be treated as a substitute for advice from a licensed physician, psychologist, therapist, psychiatrist, or other qualified health professional.

If you believe you may be experiencing a medical or mental health emergency, or may be at risk of harming yourself or others, seek immediate help from local emergency services or a qualified healthcare provider.

5. Changes to the Service

ASE may update, modify, suspend, or discontinue any part of Ů at any time, including content, features, functionality, availability, or compatibility, particularly during beta testing and product development.

ASE does not guarantee that any specific feature, including beta or experimental functionality, will continue to be offered.

6. Privacy

Your use of Ů is also governed by the Ů Privacy Policy. The Privacy Policy explains how personal information is collected, used, stored, retained, and disclosed.

By using Ů, you acknowledge that your information will be handled in accordance with the Privacy Policy.

7. Accounts and Access

You may be required to create an account or provide certain information in order to use some parts of Ů.

You agree to provide accurate, current, and complete information and to keep it updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

ASE may suspend or terminate access if it reasonably believes that an account is being misused, used unlawfully, or used in breach of these Terms and Conditions.

8. License to Use Ů

Subject to these Terms and Conditions, ASE grants you a limited, non exclusive, non transferable, revocable license to access and use Ů for your personal, non commercial use.

You may not copy, reproduce, distribute, publicly perform, publicly display, republish, sell, rent, lease, sublicense, or exploit Ů or any part of it except as expressly permitted by ASE.

You may not modify, adapt, reverse engineer, decompile, disassemble, or attempt to derive source code from the app or related systems, except where prohibited from restricting this by applicable law.

You may not remove or alter copyright, trademark, attribution, or proprietary notices.

You may not use Ů in a way that could damage, disable, overburden, or impair the service or interfere with any other user’s use.

9. Content and Intellectual Property

All content and materials made available through Ů, including audio, compositions, recordings, voice content, sound design, text, visuals, trademarks, logos, designs, software, and related materials, are owned by ASE, its affiliates, licensors, or other rights holders, and are protected by intellectual property laws.

Your use of Ů does not transfer any ownership rights to you.

Except where expressly allowed in writing, you may not use any content from Ů for commercial exploitation, training models, creating derivative services, redistribution, or republication.

10. User Input and User Content

You may provide information, responses, voice input, reflections, or other material through the app. You retain ownership of content you submit, to the extent you own it.

You grant ASE a limited, non exclusive, worldwide, royalty free license to host, store, process, transmit, and use that content solely as necessary to operate, provide, maintain, improve, secure, and support Ů, including generating contextual responses within the app.

You represent that you have the rights necessary to submit your content and that your content does not violate any law or infringe the rights of any third party.

11. Microphone and Voice Features

Ů currently uses microphone access to record user responses and spoken input. The resulting transcript is sent to our servers, where it is processed by an AI model to generate a personalized response. Both your transcript and the AI-generated response are stored on our servers as part of your session record. Audio recordings of your voice may also be uploaded to and stored on our servers.

These features rely on third-party AI service providers for processing. Their use of your data is governed by their own terms and privacy practices.

You are responsible for choosing what you say and submit through microphone enabled features.

You should not provide highly sensitive information unless you are comfortable doing so and understand how it will be handled under the Privacy Policy.

12. Beta and Experimental Features

Some functionality may be released as beta, pilot, experimental, or limited access features. This may include voice analysis, wearable integration, heart rate collection, and biofeedback features if and when implemented.

Beta or experimental features may be incomplete, may contain errors, may change without notice, and may be subject to additional requirements or limitations.

ASE may add, modify, or remove such features at any time.

13. Private Beta Participation

If you are granted access to a private beta, pilot, or limited testing version of Ů, you acknowledge and agree that the service may be unavailable, incomplete, contain defects, or change materially during the testing period. Your participation is voluntary.

By participating in a beta program, you agree that you may be asked to provide feedback, bug reports, or usability input, that beta features may be modified, suspended, or withdrawn at any time, that certain features or content may not perform as intended, and that additional notices, instructions, or participation requirements may apply to the beta program.

Unless otherwise agreed in writing, any suggestions, comments, feedback, or ideas you provide regarding the beta service may be used by ASE without restriction or compensation for the purpose of improving and developing the service.

14. Acceptable Use

You agree not to use Ů for any unlawful, fraudulent, abusive, harassing, defamatory, threatening, invasive, or harmful purpose.

You agree not to upload or transmit malicious code, spam, deceptive content, or unauthorized advertising.

You agree not to attempt to gain unauthorized access to systems, accounts, data, or networks.

You agree not to impersonate any person or entity or misrepresent your affiliation.

You agree not to use automated means to scrape, extract, crawl, copy, or harvest app content or data without ASE’s written consent.

You agree not to use app outputs or content in a way that violates law, infringes rights, or causes harm.

15. AI and Contextual Responses

Ů may generate contextual prompts, reflections, or recommendations based on user input, including spoken input, onboarding responses, mood check ins, and other app interactions.

These outputs are generated automatically and may not always be accurate, complete, suitable, or appropriate for your circumstances. You are responsible for how you interpret and use any app output.

Ů outputs are not medical, legal, therapeutic, financial, or clinical advice.

16. Paid Features and Subscriptions

Ů may offer paid features, subscriptions, or in app purchases. If so, pricing, billing frequency, included features, and renewal terms will be presented to you before purchase.

By purchasing a paid feature or subscription, you authorize the applicable app store or payment processor to charge the fees shown at the time of purchase, together with any applicable taxes.

Unless otherwise stated at the time of purchase, subscriptions renew automatically for the same subscription term until cancelled. You may cancel your subscription through your account settings or through the applicable app store account. Cancellation will take effect at the end of the then current billing period unless otherwise required by applicable law.

Except where required by law, fees already paid are non refundable.

ASE may change pricing or features for future billing periods by giving reasonable advance notice where required by law. Your continued use of a paid subscription after the new pricing takes effect constitutes acceptance of the new pricing.

17. Third Party Services

Ů may rely on or integrate with third party tools, platforms, hosting providers, analytics providers, payment processors, app stores, and AI infrastructure providers.

Your use of third party services may also be governed by those third parties’ terms and privacy practices. ASE is not responsible for third party services except as required by law.

18. Retention and Deletion

Personal information and related data handled through Ů are retained in accordance with the Privacy Policy. In general, information collected during the beta is retained for the duration of the beta and a reasonable period afterward, unless a longer period is required by law or needed for legitimate business purposes. You may request deletion of your account and associated data by contacting us or using the account deletion option in the app. Upon deletion, your data will be removed consistent with the retention practices described in the Privacy Policy.

19. Availability and Technical Performance

ASE aims to make Ů available and functional, but does not guarantee uninterrupted, error free, secure, or continuous operation.

Access may be interrupted by maintenance, updates, network issues, device limitations, third party outages, or other causes beyond ASE’s control.

20. Disclaimer of Warranties

To the fullest extent permitted by law, Ů is provided on an as is and as available basis.

ASE disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non infringement, title, accuracy, reliability, quiet enjoyment, and availability.

ASE does not warrant that Ů will meet your requirements or expectations, or that any content or response will be accurate, safe, or suitable for your needs.

21. Limitation of Liability

To the fullest extent permitted by law, ASE and its affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, loss of profits, loss of goodwill, loss of opportunity, personal injury, or business interruption arising out of or related to your use of, or inability to use, Ů.

To the fullest extent permitted by law, the total aggregate liability of ASE for any claim arising out of or relating to Ů or these Terms and Conditions will not exceed the amount you paid, if any, to use Ů in the twelve months before the event giving rise to the claim, or one hundred United States dollars, whichever is greater.

Nothing in these Terms and Conditions excludes liability that cannot legally be excluded.

22. Indemnity

You agree to indemnify, defend, and hold harmless ASE and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or related to your misuse of Ů, your breach of these Terms and Conditions, your violation of law, or your infringement of any rights of another person or entity.

23. Suspension and Termination

ASE may suspend, restrict, or terminate your access to Ů at any time if it reasonably believes you have violated these Terms and Conditions, created risk or possible legal exposure, or used the service in a harmful, unlawful, or abusive manner.

You may stop using Ů at any time.

Sections that by their nature should survive termination will survive, including those relating to intellectual property, disclaimers, limitation of liability, indemnity, governing law, dispute resolution, and any payment obligations accrued before termination.

24. Governing Law and Dispute Venue

These Terms and Conditions and any dispute, claim, or controversy arising out of or in connection with them, their subject matter, or their formation, shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms and Conditions or your use of Ů, except where applicable law in your jurisdiction of residence gives you the right to bring a claim in another court that cannot lawfully be excluded.

25. App Store Terms

If you download Ů through the Apple App Store or another app marketplace, you acknowledge that your use of the app may also be subject to that platform’s applicable terms.

You also acknowledge that the app marketplace provider is not responsible for the operation, support, or maintenance of Ů except as expressly required under its own terms.

26. Changes to These Terms and Conditions

ASE may revise these Terms and Conditions from time to time. If ASE makes material changes, it will post the updated version and update the effective date. Where required by law, ASE will provide additional notice.

Your continued use of Ů after updated Terms and Conditions become effective means you accept the revised version.
